TickFoundry Terms and Conditions

These Terms and Conditions apply to your use of the TickFoundry website, data products, sample files, downloads, APIs, documentation, and related services.

Please read these Terms carefully. By accessing our website, creating an account, purchasing a subscription, downloading data, or otherwise using TickFoundry, you agree to these Terms.

1. Who we are

TickFoundry is operated by VP HUB LTD., a company registered in England and Wales.

In these Terms, “TickFoundry”, “we”, “us”, and “our” means VP HUB LTD. trading as TickFoundry. “You” means the individual person accessing or using the service.

TickFoundry is an independent data product operated by VP HUB LTD and is not affiliated with, endorsed by, or sponsored by Polymarket or its operators. References to “Polymarket” or other venue names on our website, in our documentation, or in these Terms are used solely to identify the venues whose publicly available market data we collect and describe.

2. Important notice

TickFoundry provides historical market data and related technical infrastructure products only.

We do not provide investment advice, trading advice, financial advice, legal advice, tax advice, betting advice, gambling advice, or any recommendation to buy, sell, hold, trade, hedge, stake, wager, invest, or otherwise act in relation to any market, event, token, asset, contract, instrument, or venue.

You are solely responsible for your own analysis, decisions, models, strategies, trading activity, research, compliance obligations, and use of the data.

3. Individual seat licence

Unless we expressly agree otherwise in writing, TickFoundry subscriptions are sold on an individual seat basis.

Each paid seat is licensed to one named individual user only. A seat may not be shared, pooled, rotated, transferred, or used by multiple people.

You must not share your login, credentials, API keys, download links, SFTP credentials, or other access details with anyone else, including colleagues, contractors, clients, group companies, affiliates, research partners, or members of your organisation.

If more than one person needs access, each person must have their own paid seat unless we have agreed a separate written enterprise licence.

4. Eligibility

You must be at least 18 years old and legally able to enter into these Terms.

If you use TickFoundry in connection with your work, employer, company, fund, institution, research group, or other organisation, you confirm that your use is still subject to the individual seat restriction unless we have agreed otherwise in writing.

5. Our data products

TickFoundry may provide access to one or more of the following:

  1. raw data, including captured websocket messages or other source payloads;
  2. normalized L1 data;
  3. normalized L2 order book data;
  4. trade data;
  5. reference data, including mappings between markets, events, tokens, outcomes, venues, and lifecycle states;
  6. metadata, manifests, audit files, checksums, schemas, and documentation;
  7. sample datasets;
  8. delivery mechanisms, currently comprising downloads through your account dashboard, an authenticated REST API, and SFTP access (rolling out; provisioned per account);
  9. derived or transformed datasets; and
  10. related support, onboarding, or technical materials.

The exact data products, venues, coverage, delivery frequency, file formats, retention, update cadence, and access rights available to you will depend on your plan, order form, subscription, invoice, account settings, or written agreement with us.

6. Beta and roadmap information

Some TickFoundry materials may describe planned, upcoming, beta, pre-release, roadmap, or work-in-progress features. These are provided for information only and do not create a binding obligation to deliver any specific feature, venue, format, dataset, coverage level, launch date, delivery method, or pricing structure.

We may change, delay, remove, replace, or discontinue any planned feature or roadmap item at any time.

7. Licence to use the data

Subject to your compliance with these Terms and payment of all applicable fees, TickFoundry grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the data products made available to you solely for your own internal analysis, research, backtesting, modelling, strategy development, market study, and internal business purposes.

This licence is personal to the named individual seat holder. It does not extend to your employer, colleagues, clients, customers, affiliates, group companies, contractors, or any other third party unless we expressly agree otherwise in writing.

8. No resale, redistribution, or external commercialisation

You must not, and must not permit anyone else to:

  1. resell, redistribute, republish, share, transfer, sublicense, rent, lease, lend, supply, syndicate, broadcast, disclose, or otherwise make available any TickFoundry data to any third party;
  2. share TickFoundry data internally with other people who do not have their own paid seat;
  3. upload TickFoundry data to a public repository, public database, shared drive, data marketplace, exchange, analytics platform, vendor platform, or external system accessible by third parties;
  4. use TickFoundry data to create, operate, train, improve, validate, or support a competing data product, data feed, historical data archive, market data service, analytics service, API, dashboard, or commercial dataset;
  5. provide bureau, managed-service, hosted-analysis, white-label, outsourcing, consulting, or service-provider access to TickFoundry data for the benefit of third parties;
  6. publish or disclose substantial portions of TickFoundry data, whether raw, normalized, transformed, sampled, compressed, summarized, or otherwise processed;
  7. make TickFoundry data available in a way that allows a third party to reconstruct, approximate, reverse engineer, or substitute for the original TickFoundry dataset;
  8. remove, obscure, or alter any proprietary notices, attribution, metadata, watermarks, manifest information, or audit information included with the data;
  9. circumvent usage limits, entitlement checks, download controls, access controls, API limits, security measures, or technical restrictions; or
  10. use the data for any unlawful, fraudulent, abusive, manipulative, or prohibited purpose.

For clarity, you may use TickFoundry data to create your own internal research, models, signals, reports, backtests, charts, and analytical outputs, provided those outputs do not disclose or redistribute the underlying TickFoundry data and cannot reasonably be used as a substitute for the TickFoundry data.

9. Publications, research, and public commentary

You may publish high-level conclusions, charts, commentary, academic work, research summaries, or external reports based on your own analysis of TickFoundry data, provided that:

  1. you do not publish raw TickFoundry data;
  2. you do not publish normalized TickFoundry data;
  3. you do not publish enough data points, extracts, samples, tables, files, or time-series values to allow a third party to reconstruct the dataset;
  4. you do not imply that TickFoundry endorses your work, conclusions, strategy, product, fund, research, or trading activity; and
  5. you comply with any attribution requirements we reasonably specify.

We may require you to remove or amend any publication that, in our reasonable opinion, breaches these Terms or creates a risk of unauthorized redistribution.

10. Account security and credentials

You are responsible for all activity under your account, credentials, API keys, download links, SFTP credentials, or other access mechanisms.

You must keep access credentials secure and confidential. You must notify us promptly if you suspect unauthorised access, credential compromise, account sharing, or misuse.

We may suspend, rotate, revoke, or restrict credentials if we suspect misuse, account sharing, security risk, breach of these Terms, non-payment, or excessive usage.

11. Fees, subscriptions, and payment

Fees, billing periods, plan limits, founder discounts, renewal terms, cancellation rights, and payment methods will be set out on our website, checkout page, order form, invoice, or written agreement.

Unless stated otherwise:

  1. fees are payable in advance;
  2. subscriptions renew automatically at the end of each billing period;
  3. you are responsible for all applicable taxes;
  4. payment processing may be handled by a third-party payment provider;
  5. access may be suspended or terminated for non-payment; and
  6. fees are non-refundable except where required by law or expressly agreed by us in writing.

Founder, beta, promotional, or discounted pricing may be subject to separate eligibility rules, limits, expiry dates, and conditions.

12. Changes to plans and pricing

We may change our plans, pricing, packaging, limits, features, or availability from time to time.

If you have an active paid subscription, pricing changes will normally apply from your next renewal date unless otherwise stated. We will try to give reasonable notice of material changes, but we are not responsible for any loss arising from changes to pricing, packaging, features, data coverage, or availability.

13. Data coverage and availability

We aim to provide useful, high-quality historical data, but we do not guarantee that any dataset will be complete, uninterrupted, error-free, accurate, timely, suitable for your purpose, or available for any particular market, event, venue, time period, token, asset, or outcome.

Data may contain gaps, duplicates, incorrect timestamps, missing fields, parsing errors, source errors, venue errors, blockchain errors, reference-data errors, mapping errors, classification errors, normalization errors, clock drift, delayed messages, dropped messages, corrupted records, schema changes, or other defects.

We may correct, restate, reprocess, backfill, amend, remove, replace, or version datasets at any time. We are not obliged to maintain any particular historical version unless expressly agreed in writing.

14. Source data and third-party venues

TickFoundry data may be based on information made available by third-party venues, public endpoints, websockets, APIs, blockchains, indexers, or other external sources.

We do not control those sources. We are not responsible for their availability, accuracy, completeness, legality, licensing position, terms, outages, delays, schema changes, market definitions, data quality, or continued operation.

You are responsible for ensuring that your use of TickFoundry data complies with all laws, regulations, contractual obligations, venue terms, market rules, and internal policies applicable to you.

15. No guarantee of accuracy or fitness for purpose

TickFoundry data is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, representations, conditions, and guarantees, whether express, implied, statutory, or otherwise, including any implied warranties of accuracy, completeness, timeliness, availability, merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, or error-free operation.

You must independently verify any data before relying on it.

16. No trading, investment, or financial responsibility

You acknowledge that market data can be wrong, incomplete, delayed, misinterpreted, or unsuitable for trading or investment decisions.

You are solely responsible for any trading, research, investment, wagering, financial, commercial, regulatory, tax, operational, technical, or strategic decisions you make using or in connection with TickFoundry data.

We are not responsible for any losses, missed opportunities, trading losses, investment losses, model errors, backtest errors, execution errors, liquidation, slippage, adverse selection, compliance failures, or other outcomes arising from your use of the data.

17. Acceptable use

You must not use TickFoundry to:

  1. breach any law, regulation, sanctions rule, venue rule, or third-party right;
  2. conduct fraudulent, abusive, manipulative, deceptive, harmful, or unlawful activity;
  3. interfere with or disrupt our systems, infrastructure, networks, or security;
  4. scrape, crawl, overload, reverse engineer, or probe our services except as expressly permitted;
  5. bypass rate limits, entitlement checks, authentication, metering, or access controls;
  6. introduce malware, malicious code, or harmful content;
  7. misrepresent your identity or authority;
  8. use the service in a way that may damage TickFoundry’s reputation or operations; or
  9. assist any third party in doing any of the above.

18. Intellectual property

TickFoundry and its licensors retain all rights, title, and interest in and to the TickFoundry website, platform, data products, schemas, documentation, code, databases, datasets, compilations, normalizations, derived datasets, reference mappings, manifests, branding, trademarks, and related intellectual property.

Third-party names and trademarks, including “Polymarket”, are the property of their respective owners. They are used only to identify the relevant venues or data sources, and no affiliation, endorsement, or sponsorship is implied.

Except for the limited licence expressly granted to you, nothing in these Terms transfers any intellectual property rights to you.

19. Feedback

If you provide feedback, suggestions, ideas, bug reports, feature requests, or other comments, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use, copy, modify, commercialise, and incorporate that feedback without restriction or compensation to you.

20. Confidentiality

Non-public TickFoundry data, samples, pricing, documentation, technical information, schemas, credentials, commercial terms, roadmap information, and beta materials may be confidential.

You must protect our confidential information using at least reasonable care and must not disclose it except as expressly permitted under these Terms.

21. Suspension and termination

We may suspend or terminate your access immediately if:

  1. you breach these Terms;
  2. you fail to pay fees when due;
  3. we suspect unauthorised access, account sharing, misuse, redistribution, resale, scraping, abuse, or security risk;
  4. we are required to do so by law, regulation, court order, payment provider, infrastructure provider, or third-party venue;
  5. continued access may expose us to legal, commercial, technical, reputational, or security risk; or
  6. we discontinue the relevant service or product.

Upon termination, your right to access and use TickFoundry data ends immediately unless we agree otherwise in writing. You must delete or destroy TickFoundry data in your possession if requested by us, except to the extent you are legally required to retain archival copies.

Sections intended to survive termination will continue to apply, including restrictions on resale and redistribution, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, and governing law.

22. Limitation of liability

Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under English law.

To the fullest extent permitted by law, TickFoundry will not be liable for any indirect, incidental, special, consequential, punitive, exemplary, or economic loss, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, loss of opportunity, trading losses, investment losses, model losses, backtesting errors, wasted expenditure, or business interruption.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms, the website, the data, or the services will not exceed the amount you paid to TickFoundry for the relevant service in the three months before the event giving rise to the claim.

If you use the service free of charge, in beta, or through sample data, our total aggregate liability will be limited to £100.

23. Indemnity

You agree to indemnify and hold harmless TickFoundry, VP HUB LTD., its directors, officers, employees, contractors, agents, affiliates, and suppliers from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from or relating to:

  1. your use of TickFoundry data;
  2. your breach of these Terms;
  3. your resale, redistribution, disclosure, account sharing, or misuse of the data;
  4. your trading, investment, research, commercial, or regulatory activity;
  5. your breach of applicable law, regulation, venue rule, or third-party right; or
  6. any use of the service by anyone using your credentials.

24. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on our website with a new “Last updated” date.

If we make material changes, we may provide additional notice where reasonably practicable. Continued use of TickFoundry after the updated Terms take effect means you accept the updated Terms.

25. Assignment

You may not assign, transfer, or sublicense your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, or by operation of law.

26. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining parts will continue in full force and effect.

27. Entire agreement

These Terms, together with any applicable order form, invoice, plan description, data licence, or written agreement, form the entire agreement between you and TickFoundry regarding your use of the service.

If there is a conflict between these Terms and a signed written agreement, the signed written agreement will control to the extent of the conflict.

28. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the website, the data, or the services, unless applicable law requires otherwise.
